General Counsel FAQ
Is a Subscription-Based Model Better Than Hiring In-House?
Often, yes, especially for startups and small or midsize companies. A subscription gives you a predictable monthly fee and ongoing access to an experienced attorney without the salary and benefits of a full-time hire. In-house makes more sense once legal work fills a full-time role or needs someone on site every day.
Once a business needs regular legal help, the choice is often between hiring a lawyer as an employee and paying an outside attorney a monthly subscription for ongoing general counsel work. Neither is right for everyone. The answer depends on how much legal work you have, what kind it is, and how predictable it is from month to month.
The Real Cost of an In-House Lawyer
A full-time in-house counsel means paying a salary and benefits every year. That is only the beginning. Add:
- Recruiting costs and the months it can take to find the right person
- Payroll taxes on top of salary and benefits
- Bar registration, continuing legal education, and professional liability coverage
- Office space, equipment, and legal research tools
- Turnover risk: when your only lawyer leaves, the institutional knowledge leaves too
One in-house lawyer also brings one person’s background. A generalist hire may still need outside help for issues beyond their experience, so outside legal bills rarely drop to zero.
How a Subscription Arrangement Works
Under a subscription, you pay a flat monthly fee for a defined scope of ongoing legal work. A typical scope includes contract review and drafting, routine employment questions, policy updates, compliance guidance, and regular planning calls. Work outside the scope, such as litigation or a major acquisition, is usually billed separately on terms agreed in advance. New York court rules generally require a written engagement letter that sets out the scope and fees (22 NYCRR Part 1215), and that letter is where these details belong.
The biggest advantages are predictability and access. When every phone call is not billed by the hour, owners ask questions earlier, when problems are smaller and cheaper to fix.
When a Subscription Is the Better Fit
- Your legal needs are steady but do not fill a full-time job.
- You want certainty in your budget.
- Your needs range across contracts, employment, real estate, and disputes, and benefit from a lawyer with broad business experience.
- You are growing and want counsel that can scale up or down without layoffs or new hires.
When In-House Makes Sense
- Legal work consistently fills a full-time role.
- The company is heavily regulated and needs a lawyer embedded in daily operations.
- Leadership needs an attorney physically present for frequent meetings and negotiations.
- Contract or deal volume is high enough that an employee is cheaper than outside time.
Even then, many companies keep outside counsel for overflow, litigation, and unfamiliar issues. Some start with a subscription and move to an in-house hire as they grow.
